Clarification Of Financing Terms
Vancouver, B.C., October 31, 2012 - Emperor Oil Ltd. (TSX.V: EM) ("Emperor" or the "Company") previously announced that it has to-date received subscriptions for approximately 30,000,000 units for gross proceeds of approximately $12 million. The Company has reduced the unit price of the private placement announced on September 23, 2012 from $0.50 per unit to $0.40 per unit. Each unit is comprised of a share and warrant, each warrant being exercisable for a period of 12 months from the closing date at a price of $0.75 to raise a minimum of $10 million (MOU minimum requirements). The Company intends to continue accepting additional subscriptions up to the time of closing.
Please be advised that each unit is comprised of one share and one-half warrant, not the previously announced one share and one full warrant.
